Terms & Conditions

The terms that govern use of Madcrow for Shopify, including billing, service scope, and merchant responsibilities.

Madcrow: AI Chat & Support is a next-generation customer support solution engineered exclusively for Shopify, leveraging Retrieval-Augmented Generation (RAG) and Model Context Protocol (MCP) to provide real-time intelligence directly within the storefront.

1. Agreement to Terms

These Terms and Conditions ("Terms") form a binding legal agreement between the merchant installing Madcrow: AI Chat & Support ("Merchant", "you") and GlobeCo Technologies Pvt Ltd, operating as MadCrow AI ("Madcrow", "we", "us"). By clicking "Install" in the Shopify App Store, or by continuing to use the app after any update to these Terms, you confirm that you have read, understood, and agree to be bound by them. If you are installing on behalf of a business, you represent that you have authority to bind that business. If you do not agree, you must not install or must uninstall the app immediately.

2. Service Description

Madcrow: AI Chat & Support is an AI-powered customer support chatbot built exclusively for Shopify merchants. The service includes:

  • A customisable chat widget embedded directly in your Shopify storefront via Script Tags, with configurable persona, tone, and language settings.
  • Retrieval-Augmented Generation (RAG) to answer shopper queries using your store's product catalogue, policies, and uploaded knowledge base documents.
  • Real-time order status lookup powered by the Shopify Admin API, available on supported plans.
  • A merchant dashboard for managing the AI knowledge base, reviewing conversation logs, and accessing chat performance analytics.

3. AI Disclaimer and Accuracy

The Madcrow assistant is powered by large language models. By using the service, you acknowledge that:

  • AI Limitations: AI language models can produce inaccurate, incomplete, or misleading responses, commonly known as "hallucinations". Madcrow is designed to minimise this through RAG, but no guarantee of 100% accuracy is made or implied.
  • Merchant Responsibility: You are solely responsible for the accuracy and completeness of all information provided to Madcrow — including product descriptions, store policies, and uploaded documents. Inaccurate or outdated training data will result in inaccurate responses to your customers.
  • Shopify API Dependency: Features relying on live Shopify data (e.g., order status lookups) are subject to Shopify API availability and data accuracy within your Shopify Admin. We are not liable for errors caused by Shopify API downtime, rate limiting, or discrepancies in your store data.
  • No Professional Advice: Madcrow responses do not constitute legal, financial, medical, or any other form of professional or regulated advice.

4. Merchant Obligations

By using Madcrow, you agree to:

  • Ensure all content uploaded to the knowledge base — including FAQs, policies, product guides, and documents — is accurate, current, lawful, and does not infringe any third-party intellectual property rights.
  • Review and approve the AI assistant's persona, response settings, and knowledge base configuration in your dashboard before making the widget live on your storefront.
  • Comply with all applicable laws governing your use of AI in customer-facing tools, including consumer protection laws, distance selling regulations, and data privacy laws applicable to your customers.
  • Update your Shopify store's privacy policy to disclose to customers that an AI-powered chat assistant is in use and may process their messages.
  • Not use Madcrow to generate, publish, or transmit misleading, deceptive, defamatory, or illegal content to your customers.

5. Acceptable Use

You must not use Madcrow to:

  • Deceive shoppers with false information about products, pricing, shipping timelines, availability, or order status.
  • Automate unsolicited marketing messages, spam, or promotional communications through the chat interface.
  • Probe, scan, or test the vulnerability of Madcrow's systems, servers, or networks without prior written authorisation.
  • Reverse-engineer, decompile, or attempt to extract Madcrow's AI models, vector embeddings, prompt templates, or proprietary business logic.
  • Resell, sublicense, or white-label the Madcrow service to third parties without our express prior written consent.

6. Subscription Plans and Billing

Madcrow offers tiered subscription plans billed through Shopify's Recurring Application Charge system:

  • Billing is processed exclusively through your Shopify account. By subscribing, you authorise Shopify to charge your account on a recurring monthly basis on our behalf.
  • Plan features, monthly conversation session limits, and pricing are described on the Madcrow App Store listing. Features and limits vary between plans.
  • If your store exceeds the monthly session limit for your plan, Madcrow may throttle the chat widget or prompt you to upgrade. We will not automatically charge you for overages without your prior opt-in consent.
  • Subscription charges are non-refundable except where required by applicable consumer law. If you believe a charge was made in error, contact support@madcrow.ai within 7 days.
  • We reserve the right to modify plan features and pricing with at least 30 days' written notice. Continued use of the service after the notice period constitutes acceptance of the updated pricing.

7. Intellectual Property

  • Merchant Content: You retain full ownership of your store data, product information, brand assets, uploaded documents, and customer data. Granting Madcrow access to this data does not transfer ownership of any kind.
  • Madcrow Technology: GlobeCo Technologies Pvt Ltd retains all rights, title, and interest in the Madcrow software, AI models and logic, widget code, dashboard interfaces, prompt engineering, vector database schemas, and all other proprietary technology.
  • Licence Grant: We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Madcrow app solely for the purpose of operating an AI support assistant on your Shopify store during your active subscription.

8. Warranties and Disclaimers

THE MADCROW SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF AI RESPONSES, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY PARTICULAR SHOPPER QUERY WILL BE ANSWERED CORRECTLY OR COMPLETELY.

9. Limitation of Liability

To the maximum extent permitted by applicable law, GlobeCo Technologies Pvt Ltd's total aggregate liability to you for any and all claims arising out of or in connection with these Terms or your use of Madcrow — whether in contract, tort, statute, or otherwise — shall not exceed the total fees paid by you to Madcrow in the three (3) calendar months immediately preceding the event giving rise to the claim. In no event shall Madcrow be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, loss of customers, data loss, or reputational harm, even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless GlobeCo Technologies Pvt Ltd, its officers, employees, and agents from and against any and all third-party claims, damages, penalties, fines, and costs (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) inaccurate, unlawful, or misleading content you upload to the Madcrow knowledge base that causes harm to shoppers; (c) your failure to disclose the use of AI chat tools to your customers as required by applicable law; or (d) your violation of any third-party intellectual property or data protection rights.

11. Termination

You may terminate your subscription at any time by uninstalling the Madcrow app from your Shopify store. Uninstallation cancels the subscription at the end of the current billing cycle. We may suspend or terminate your access immediately, without liability, if you: (a) breach these Terms or our Acceptable Use Policy; (b) violate Shopify's Partner Programme Agreement in a way that affects Madcrow; or (c) engage in conduct that poses a material legal or reputational risk. Upon termination, your licence to use the service ends immediately, and we will delete your store data in accordance with our Privacy Policy retention periods.

12. Governing Law

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms shall first be subject to 30 days of good-faith negotiation between the parties. If unresolved, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, seated in Bangalore, India. Either party may seek injunctive or interim relief from any court of competent jurisdiction without this being deemed a waiver of the arbitration agreement.

13. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated to merchants by email and/or through a notice in the Madcrow dashboard at least 14 days before taking effect. If you do not agree with the updated Terms, you must uninstall the app before the effective date. Continued use of the app after the effective date constitutes your acceptance of the revised Terms.
